General Terms and Conditions
1. Scope of application
1.1
These General Terms and Conditions of World of Vending GmbH (hereinafter “Seller”) apply to all sales of goods and services entered into with a company (hereinafter “Buyer”) by the Seller.
These General Terms and Conditions apply only if the buyer is an entrepreneur (§ 14 BGB), a legal entity, or a natural person acting in the exercise of their commercial or independent professional activity.
Private individuals without knowledge or experience in vending machine technology are excluded from purchasing goods or services from us.
1.2
Our General Terms and Conditions apply exclusively. Deviating, conflicting, or supplementary terms and conditions of the buyer shall only apply if and insofar as expressly accepted by the seller in writing.
2. Offer and Contract Conclusion
2.1
The representations of products do not constitute an offer by the Seller but are an invitation to the buyer to make an offer to purchase the products.
2.2
By ordering the products, the buyer submits a binding offer. A purchase contract is concluded when the Seller confirms acceptance of the order in writing (email) within 14 days of receiving the offer, requests payment from the buyer, or executes the delivery within this period.
2.3
The prices quoted in the Seller’s offers are valid for 14 days but only as long as the devices are available and have not been sold to another party.
3. Warranty Disclaimer
3.1
Unless otherwise stated, all devices are used, complete, roughly cleaned but not tested for function, refurbished or reconditioned. Some specifically marked devices may be tested or refurbished. These are also sold as used and are not subject to warranty or return. The devices may show scratches, dents, or other signs of use.
3.2
The Seller assumes no guarantees, assurances, agreements on condition, or any other liability for the purchased items. This exclusion of liability does not apply to claims for damages—regardless of the legal basis—if the Seller acts intentionally or fraudulently.
3.3
The information and images provided about the purchased item are solely for describing the condition and scope of delivery. They are not guaranteed characteristics.
3.4
The Seller does not offer any service or after-sales service.
4. Prices and Payment Terms
4.1
Unless otherwise expressly agreed in writing in individual cases, our current prices at the time of contract conclusion apply, ex warehouse, plus the statutory VAT. Packaging and customs costs are borne by the buyer.
4.2
Payment is made exclusively in advance (bank transfer). In exceptional cases, cash payment upon collection is possible but requires prior notice.
4.3
The total amount must be credited to the Seller’s specified account within three business days of receiving the order. The goods remain the property of the Seller until full payment is received. In case of delayed payment, the Seller reserves the right to sell the goods to other buyers.
5. Delivery and Shipping Terms
5.1
Delivery EXW (Ex Works) D-47800 Krefeld (Incoterms 2020).
5.2
The Seller places the goods on the vehicle of the collector according to the instructions of the driving personnel. Ensuring transport and operational safety in accordance with the applicable standards for securing loads is the responsibility of the collector, who must employ appropriately trained driving personnel. The collector must also provide the necessary load securing equipment. The Seller does not inspect the load securing measures implemented by the collector and is not liable for damages resulting from insufficient load securing.
5.3
The collection period is 10 business days after payment is received. In case of delayed collection, storage fees of €10 per day per device will apply.
5.4
Collection is only possible after prior scheduling during the following times:
• Monday to Thursday: 08:30–12:30 and 13:30–16:00
• Friday: 08:30–13:00
6. Export and Tax Information
6.1
If a valid VAT identification number is provided within the EU, VAT will not be charged. The buyer is obligated to prove receipt of the goods in the destination country and to send a signed confirmation (“Entry Certificate”) to the seller.
6.2
For sales to non-EU countries, the Seller will order the necessary customs documents (EUR.1 and/or Export Accompanying Document). For this service, the seller charges:
• Export declaration (EAD): €100
• EUR.1 certificate: €70
7. Choice of Law and Jurisdiction
7.1
These General Terms and Conditions and the contractual relationship between the Seller and the buyer are governed by the laws of the Federal Republic of Germany, excluding international uniform law, particularly the United Nations Convention on Contracts for the International Sale of Goods (CISG).
7.1
The place of performance is the Seller’s registered office. The place of jurisdiction is Krefeld, Germany.
8. Additional Paid Services
8.1
Packaging: Unless otherwise requested by the buyer, the goods will be packed by the Seller at an additional cost of €15 per machine.
8.2
Locks: Devices are sold without locks unless otherwise specified. By prior arrangement and subject to availability, used standard locks can be purchased for an additional cost of €20.
8.3
Foot Covers: Not all devices come with foot covers. This does not affect the statement regarding the completeness of the device. Upon request, the Seller can order new covers from the manufacturer, depending on the model and availability, at an additional cost of €60–€80. Delivery times may vary.
8.4
Frost Protection: Coffee machines generally contain residual water, especially in the boilers. Until loading, the Seller ensures frost-proof storage of the devices. However, in case of frost or expected low temperatures, it is the buyer’s responsibility to ensure frost-proof transport (e.g., through thermal containers). Upon request and by prior arrangement, the water can be drained from the boilers for an additional cost of €40 per device.
